I. Establishment of Legal Operations Appropriate for Each Affiliate
(1) Survey of the Current Status of Legal Operations of E ach Affiliate (Singapore, Malaysia, Thailand, Indonesia, Laos, Vietnam, Philippines, Cambodia and India)
(2) Proposal of Legal Operations Suitable for Each Affiliate.
* We assume that Affiliates will be divided into a couple of types according to their own situation.
(3) Support them to Implement the above (2) Proposal (collaboration with top management of each Affiliate is required)
II. Guide and Support for the Legal Operations of Affiliates
* The degree of involvement by Legal Manager varies depending on the afore-mentioned types of I.(2)
(1) Contract Operations (Preventive Legal Affairs)
(A) Contract Reviewing
From legal point of view, Legal Manager provides guidance and proposals to each Affiliate’s top management and legal staff as well as employees directly involved in transactions in the sales, procurement and engineering functions, regarding from negotiation and closing of terms and conditions of various transactions to drafting and storage of the legal documents.
In such legal operation phases, Legal Manager minimizes business risks, and avoids unnecessary disputes and troubles by identifying the critical legal risks that may arise out of the transactions.
(i) Reviewing regular business contracts, providing advices and guidance, and other
supports to business people
(ii) Reviewing significant contracts (strategic projects)
(B ) Development of Infrastructure to Enhance Contract Reviewing
(i) Establishment and enhancement of contract reviewing process
(ii) Cooperation with law firms in each country
(iii) Setting up of standardized contract forms and their guides for employees
(iv) Setting up or maintenance of contract database
(2) Guide and Support for Dispute Resolution (lawsuit handling)
(A) Guide, Support and Record for Litigation in Each Country (selection of lawyers, filing of lawsuits, conducting litigation, progress management, and storage of lawsuit materials)
(B) Reporting of Lawsuit Status to the Parent Company (TKS)
(3) Compliance with Laws and Regulations
(A ) Collection and Dissemination of the Latest Legal Information Periodically and Timely
(B ) Setting up and Updating of Internal Rules and Policies in Accordance with the Latest Laws and Regulations
(C) Implementation of Legal Education for Internal Employees
(4) Liaison with the Parent Company (TKS)
(A) Periodic Reporting to TKS's legal department
(B) ) Investigation and Escalation of Cases Applicable to the Authorization Matrix
REQUIRED WORK EXPERIENCERequired
✓Master or higher degree(s) of law schools or equivalent educational institutions related to the regarded business
✓Experiences in international legal affairs, especially litigation or dispute resolution
✓Experiences in construction industry (desirable)
✓Skills in negotiation with internal and external stakeholders
✓Language skills: English (native)
✓PC skills: PC operation skills (MS Excel, Word, PowerPoint, email, etc.) and information security literacy
